Terms of Service

1. About Echo
Echo is an online impact measurement platform operated by Spacecubed Foundation Ltd (ABN 58 149 449 972) (“Spacecubed”, “we”, “us”, or “our”). Echo helps organisations, philanthropists, and investors measure, map, and analyse the long-term impact of their grants, programs, people, and investments.
These Terms of Service (“Terms”) govern your access to and use of the Echo platform and website. By accessing or using Echo, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use the platform.
These Terms apply to all users, including Customer Users (organisation staff with platform accounts) and Form Respondents (individuals who submit data via Echo forms at the request of a customer organisation).
Customers who have entered into a separate Platform Services Agreement with us are also subject to the terms of that agreement. In the event of any conflict between these Terms and a Platform Services Agreement, the Platform Services Agreement prevails.
2. Accounts and Access
Customer Accounts
Access to the Echo platform is provided to customer organisations under a Platform Services Agreement. Customer Users are granted accounts by their organisation and must keep their login credentials secure and confidential.
Customers are responsible for all activity that occurs through their account, whether authorised or not, and must notify us immediately of any unauthorised use.
Form Respondent Access
Form Respondents access Echo via unique links provided by a customer organisation to complete forms, surveys, applications, update requests, or impact reports. Form Respondents do not require an account to submit data through Echo forms.
3. Acceptable Use
You agree to use Echo only for its intended purpose: the collection, management, and analysis of impact-related data. You must not:
- Upload or transmit any material that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable;
- Attempt to gain unauthorised access to any part of the platform, other user accounts, or systems connected to Echo;
- Interfere with or disrupt the platform or its infrastructure;
- Reverse-engineer, decompile, or disassemble any part of the platform;
- Use the platform in any way that violates applicable law; or
- Scrape, harvest, or collect data from the platform by automated means without our prior written consent.
We reserve the right to suspend or terminate access for any user who breaches these Terms.
4. Data Ownership and Intellectual Property
Customer Data
All data entered into Echo by or on behalf of a customer organisation — including data submitted by Form Respondents — is and remains the property of the customer organisation. We do not claim any ownership rights over customer data. Customers may request a full export of their data at any time.
Tenant isolation: Each customer's data is logically separated within the Echo platform. Customer data is never shared with, visible to, or accessible by other Echo customers. All data within a customer's account — including impact data, financial data, business information, form responses, and reports — is isolated to that customer's tenant.
We are granted a limited, non-exclusive, royalty-free licence to use customer data solely for the purpose of providing the Echo platform services during the term of the customer's agreement. This licence terminates when the customer's agreement ends.
Platform Intellectual Property
All rights, title, and interests in the Echo platform, including its software, design, functionality, branding, documentation, and all related intellectual property, are owned by Spacecubed Foundation Ltd or its licensors. Nothing in these Terms transfers any ownership of the platform or its intellectual property to you.
You are granted a limited, non-exclusive, non-transferable, revocable licence to use the platform for its intended purpose, subject to these Terms and any applicable Platform Services Agreement.
You must not copy, modify, distribute, sell, or create derivative works based on the platform or any part of it, or remove or alter any proprietary notices or labels on the platform.
5. Artificial Intelligence Features
Echo offers optional artificial intelligence (“AI”) features within the platform. Customer organisations may choose to enable AI functions for purposes such as generating summaries, automating reporting workflows, analysing trends, and producing insights. The use of AI features is entirely at the customer's discretion — they are not enabled by default and customers are not required to use them.
If a customer chooses to use AI features, data within their account may be processed by third-party AI providers, which may include Anthropic, OpenAI, Google, and other providers. When AI features are used, data may be transmitted to provider infrastructure located outside Australia (primarily in the United States) for processing.
Our commitments regarding AI:
- Customer data is never used to train general-purpose AI models or third-party machine learning models.
- AI features process data only within the customer's own account and under the customer's direction.
- AI-generated outputs are treated as customer data and belong to the customer.
- All AI providers engaged by Echo are contractually bound not to use customer data for any purpose other than providing the processing service to Echo, including model training, benchmarking, or product improvement.
- Customers may disable AI features for their account at any time.
AI-generated outputs are provided as analytical aids and should not be treated as professional advice. Customers are responsible for reviewing and validating AI-generated insights before relying on them.
6. Forms, Surveys, and Impact Reporting
Echo enables customers to create and distribute forms, surveys, applications, update requests, and impact report templates to their stakeholders, including grant recipients, program participants, and other organisations. Data collected through these forms may include impact data, business information, financial data, and other information as determined by the customer.
Customer organisations are responsible for ensuring that:
- Form Respondents are informed about the purpose of data collection and how their data will be used;
- Any required consents are obtained before requesting data through Echo; and
- The forms they create comply with applicable privacy and data protection laws.
Form Respondents should contact the customer organisation that sent them the form if they have questions about how their data will be used.
7. Privacy
We handle personal information in accordance with our Privacy Policy, which is available on our website and should be read in conjunction with these Terms. Our Privacy Policy explains what personal information we collect, how we use and disclose it, and your rights in relation to your information.
8. Data Processing Agreements
For customers who require a formal Data Processing Agreement (DPA) — for example, organisations subject to the General Data Protection Regulation (GDPR) or other international privacy frameworks — we can provide a DPA addendum to the Platform Services Agreement on request. Please contact us using the details in Section 18 below.
9. Confidentiality
We treat all customer data and account information as confidential. We will not disclose customer data to third parties except as necessary to provide the platform services (for example, to hosting providers), with the customer's prior written consent, or as required by law.
Our confidentiality obligations survive the termination of any agreement with a customer.
10. Data Security
We implement appropriate technical and organisational measures to protect data held on the Echo platform from misuse, interference, loss, and unauthorised access, modification, or disclosure.
While we take reasonable steps to protect data, no online platform can guarantee absolute security. You acknowledge that you provide data at your own risk and that we are not liable for unauthorised access that occurs despite our reasonable security measures.
11. Service Availability
We aim to maintain platform availability at 99% uptime. However, we do not guarantee uninterrupted access to Echo. The platform may be temporarily unavailable due to:
- Scheduled maintenance (which we will endeavour to notify you about in advance);
- Unscheduled maintenance or emergency repairs; or
- Events outside our reasonable control (including internet outages, hardware failures, or force majeure events).
We are not liable for any loss arising from platform unavailability.
12. Limitation of Liability
To the maximum extent permitted by law, our total liability to you in connection with these Terms or your use of Echo is limited to the fees paid by your customer organisation under its Platform Services Agreement in the 12 months preceding the claim. If you are a Form Respondent and not a paying customer, our liability to you is limited to the maximum extent permitted by law.
We are not liable for any indirect, special, or consequential loss, including loss of profit, revenue, data (beyond our obligation to back up and return customer data), goodwill, or anticipated savings.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any liability that cannot be excluded by law.
13. Termination
By Customers
Customers may terminate their use of Echo in accordance with their Platform Services Agreement. Upon termination, the customer may request a full export of their data before their account is deactivated. After account deactivation, customer data will be returned or destroyed on request.
By Us
We may suspend or terminate access to Echo immediately if you breach these Terms, if required by law, or if continuing to provide the service is no longer commercially viable. Where possible, we will provide reasonable notice before termination.
Effect of Termination
On termination, your right to access and use the platform ceases immediately. Clauses relating to data ownership, intellectual property, confidentiality, limitation of liability, and governing law survive termination.
14. Rescinding Consent and Data Deletion
Customers may rescind their consent for us to hold their data at any time by providing written notice. We will work with the customer to return or destroy their data in a timely manner.
Form Respondents may request deletion of their personal information by contacting the customer organisation or by contacting us directly. Deletion requests will be handled in consultation with the customer organisation, as they are the data owner.
Once data has been destroyed, it cannot be recovered.
15. Disclaimers
Echo is provided “as is” and “as available” to the extent permitted by law. We make no warranties, express or implied, regarding the platform's fitness for a particular purpose, accuracy of AI-generated outputs, or uninterrupted availability.
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot be excluded, restricted, or modified by agreement.
Impact data, reports, and AI-generated insights provided through Echo are analytical tools and do not constitute professional advice (whether financial, legal, or otherwise). You should seek independent professional advice where appropriate.
16. Changes to These Terms
We may update these Terms from time to time. We will notify customers of material changes via email or through the platform. Continued use of Echo after changes take effect constitutes acceptance of the updated Terms.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of Western Australia. Any disputes arising under or in connection with these Terms will first be the subject of good-faith negotiation between the parties. If a dispute cannot be resolved by negotiation within 14 days, the parties agree to submit to the non-exclusive jurisdiction of the courts of Western Australia.
